1. Agreement to These Terms

These Terms of Service (“Terms”) form a binding legal agreement between you (“you”, “User”) and BznsBuilder Technologies Limited, a company incorporated in Ireland (Company Registration Number 816789), with its registered office at The Black Church, St. Mary’s Place, Dublin 7, D07 P4AX, Ireland (“BznsBuilder”, “we”, “our”, or “us”).

By creating an account, accessing, or using our website, software platform, applications, and related services (collectively, the “Services”), you agree to be bound by these Terms. Clicking to create an account has the same legal effect as signing a contract. If you do not agree to these Terms, you must not use the Services.

If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.

2. Eligibility and Account Registration

To create or use a BznsBuilder account, you must:

• Be at least eighteen (18) years old and legally able to enter into binding contracts;
• Complete the registration process and agree to these Terms;
• Provide true, accurate, current, and complete information, and keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. A single login may be used by only one person; you may create separate logins for additional users. If you believe your account has been compromised, you must notify us promptly at info@bznsbuilder.com. You may be liable for losses arising from unauthorised use of your account.

3. The Services

BznsBuilder is a web-based subscription platform that helps founders and businesses create and manage business plans, build financial forecasts and scenarios, and access financial intelligence and decision-support tools. The Services allow you to upload, store, and process content (“Content”) within your account.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. Your use of the Services is at your own risk, subject to the warranties and rights that cannot be excluded under applicable law.

While we aim to keep the Services available, we do not guarantee uninterrupted or error-free access. Maintenance, updates, security events, third-party outages, or circumstances beyond our reasonable control may result in temporary interruptions.

4. Artificial Intelligence and Decision-Support Outputs

The Services use artificial intelligence, machine learning, and automated processing to generate business planning recommendations, financial forecasts, financial intelligence insights, reports, and decision-support outputs (“Outputs”).

Outputs are generated from the information you provide and are advisory in nature. They do not constitute professional financial, investment, legal, tax, or accounting advice, and must not be relied upon as a substitute for advice from a qualified professional. You are solely responsible for reviewing, validating, and exercising your own judgment before relying on any Output for business, financial, legal, tax, or investment decisions, and for the consequences of any such decision.

We do not guarantee the accuracy, completeness, or suitability of any Output for your particular circumstances. We do not use your customer-specific data to train publicly available or third-party artificial intelligence models without an appropriate legal basis or your authorisation.

5. Privacy

Your privacy matters to us. Our Privacy Policy, available at https://bznsbuilder.com/privacy-policy/, is incorporated into these Terms by reference and explains how we collect, use, and protect your personal information. Please review it carefully.

6. Subscriptions, Billing, and Taxes

• A valid payment method is required for all paid accounts.
• BznsBuilder may offer a free trial (currently seven (7) days) for eligible plans. Unless you cancel before the trial ends, your selected subscription will automatically convert to a paid subscription and the applicable fees will be charged. Trial “days” run as 24-hour periods from the date and time of sign-up. If you cancel before your first invoice is processed, you will not be charged.
• Paid plans are billed in advance on a monthly or annual basis. Upgrading from a free to a paid plan ends any free trial and triggers immediate billing for the first period.
• For any upgrade or downgrade, your payment method will be charged the new rate from the next billing cycle. Downgrading may result in the loss of content, features, or capacity, and we accept no liability for such loss.
• All fees are exclusive of applicable taxes. You are responsible for all value-added tax (VAT), duties, levies, and similar charges imposed by any tax authority in connection with your use of the Services, except for taxes based on our net income.

7. Cancellation and Refunds

You may cancel your subscription at any time through the account management area of the Services. Except where otherwise required by applicable law or as set out in our Return and Refund Policy, fees are non-refundable, and we do not provide refunds or credits for partial billing periods or unused time.

Nothing in this section limits any statutory rights you may have as a consumer, including any applicable right of withdrawal for distance contracts under EU or other applicable consumer protection law.

8. Acceptable Use

You agree not to use the Services to, and not to permit or encourage any third party to:

• Use the Services for any purpose other than as offered by BznsBuilder, or in any unlawful manner or in violation of any applicable law, including data protection, privacy, or intellectual property laws;
• Impersonate any person or entity, misrepresent your affiliation, forge identifiers, or access another user’s account without permission;
• Send unsolicited communications, advertising, spam, chain mail, or bulk solicitations to other users;
• Defame, harass, abuse, threaten, or defraud any person, or collect personal information about others without their consent;
• Remove, circumvent, disable, or interfere with security or access-control features of the Services;
• Reverse engineer, decompile, or disassemble the Services, or attempt to derive their source code, except to the extent expressly permitted by applicable law;
• Modify, adapt, translate, or create derivative works of the Services, except to the extent expressly permitted by applicable law;
• Introduce viruses, worms, or other malicious code, or otherwise interfere with or disrupt the Services or connected networks; or
• Use any robot, spider, scraper, or automated means to access the Services or bypass access restrictions; or
• Use the Services in violation of any applicable export control, sanctions, or trade restriction laws.

We reserve the right, but assume no obligation, to investigate suspected violations and to suspend or terminate accounts that breach these Terms.

9. User Content and Ownership

You retain all ownership rights in the Content you upload to the Services. You grant us a limited, non-exclusive licence to host, store, process, and transmit your Content solely to provide and improve the Services for you. Except as set out in these Terms or our Privacy Policy, we will not use your Content for any purpose other than providing the Services.

Where you act as a data controller in respect of personal data contained in your Content, and where required by applicable law, BznsBuilder may enter into a separate Data Processing Agreement (DPA) with you governing our processing of that data on your behalf.

You are solely responsible for your Content and for the consequences of uploading, storing, or distributing it. You represent and warrant that your Content, and our permitted use of it, does not infringe or misappropriate any third-party right (including intellectual property, privacy, or publicity rights), violate any securities law, or contain unlawful, defamatory, or malicious material.

10. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other materials we provide, and the compilation of all content on our website, are the exclusive property of BznsBuilder and are protected by intellectual property laws. We retain all rights not expressly granted to you. You may not use our trademarks or branding without our prior written consent.

11. Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Services (“Feedback”), you grant BznsBuilder a worldwide, perpetual, irrevocable, royalty-free right to use, incorporate, and otherwise exploit that Feedback without restriction or compensation to you.

12. Third-Party Services and Content

The Services may integrate with or link to third-party products and services (for example, accounting, payment, analytics, communication, and other third-party integrations). We do not control and are not responsible for third-party services or content, and your use of them is governed by the relevant third party’s terms and policies. We are not a party to, and are not responsible for, any transaction between you and a third-party provider.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any Output will be accurate or meet your requirements. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you, and you may have additional statutory rights.

14. Limitation of Liability

To the fullest extent permitted by law, BznsBuilder and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total fees you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that may not lawfully be limited.

15. Indemnification

You agree to defend, indemnify, and hold harmless BznsBuilder and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms or of any warranty or representation made by you; (c) your Content; or (d) your violation of any third-party right or applicable law. This obligation survives termination of these Terms.

16. Confidentiality

Each party may have access to information of the other that is confidential. Each party agrees to protect the other’s confidential information using reasonable measures and not to disclose it except as necessary to perform under these Terms or as required by law.

17. Security Breach Notification

In the event of a security breach that materially affects you or users on your account, we will notify you without undue delay and provide a description of what occurred and the steps taken in response, consistent with our obligations under applicable data protection law and our Privacy Policy.

18. Term and Termination

You may cancel your use of the Services and terminate your account at any time through the account management area of the Services, following the procedures provided there. A terminated account may persist for a reasonable period while we process the termination.

We may suspend or terminate your account or access to the Services, with or without notice, if you breach these Terms or if we are required to do so by law. On termination, your account will be disabled and you may lose access to your Content, although residual copies may remain in our systems for a limited period in line with our retention practices.

19. Changes to These Terms and Notices

We may modify these Terms from time to time. When we do, we will update the “Last Updated” date and, where appropriate, provide notice by in-app message or email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. It is your responsibility to review the Terms periodically.

We may provide notices to you by in-app notification, email, or post. Notices are deemed given 24 hours after an in-app notification or email is sent, three (3) days after mailing, or five (5) days after posting on our website.

20. Force Majeure

Neither party will be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, internet or telecommunications failures, governmental actions, or failures of third-party service providers. This section does not relieve you of your obligation to pay fees due.

21. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or in connection with them or the Services, are governed by and construed in accordance with the laws of Ireland, without regard to its conflict-of-laws principles. The courts of Ireland will have exclusive jurisdiction to settle any such dispute, without prejudice to any mandatory consumer protection rights you may have in your country of residence.

22. Miscellaneous

• We may assign or transfer these Terms without restriction. You may not assign or transfer your rights or obligations without our prior written consent.
• If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
• No waiver of any term will be deemed a continuing waiver of that or any other term.
• These Terms, together with our Privacy Policy and any policies referenced herein, constitute the entire agreement between you and BznsBuilder regarding the Services.

23. System Requirements

The Services are designed to work with current versions of major modern browsers, including the two most recent releases of Firefox (Windows and Mac), the two most recent releases of Safari (Mac), the current release of Google Chrome (Windows and Mac), and Microsoft Edge. Cookies and JavaScript must be enabled for the Services to function properly.
